The following Terms and Conditions (“Terms and Conditions”) govern the use of NADATODO.COM (“the site”, “NADATODO.COM” and/or “NADATODO”) and the interaction of users thereon. By using or accessing NADATODO.COM, you and we agree to the following:
1. User Privacy
A. No information posted on the site will be sold to a third party or used by NADATODO.COM in any way which violates its users’ trust or the Terms and Conditions as outlined herein.
2. Content and Information Sharing
You are the owner of any comment, picture, video or contribution on/to NADATODO.COM.
A. For content covered by intellectual property rights (like photos and videos) you specifically give us the following permission: non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any intellectual property content that you post on or in connection with NADATODO.COM. This arrangement ends once the content is deleted by you or removed by NADATODO.COM.
B. You are the owner of any intellectual property you post/upload on NADATODO.COM. Content provided on the site can be shared freely with others (as it is in the public domain).
C. When you delete intellectual property content, understand that removed content may persist in backup copies for a reasonable period of time (but will not be accessible by other users).
D. NADATODO.COM is an open platform. Any and all content posted thereon can be viewed and shared by/with the public.
3. User Safety
We do our best to keep NADATODO.COM safe for its users. To keep this up, please adhere to the following:
A. You will not send or otherwise post unauthorized commercial communications (such as spam) on NADATODO.COM.
B. You will not collect users' content or information, or otherwise access NADATODO.COM, using automated means without our permission.
C. You will not engage in unlawful marketing ploys on NADATODO.COM.
D. You will not upload viruses or other malicious code/date to the site.
E. You will not solicit login information or content belonging to someone else.
F. You will not harass or intimidate other users.
G. You will not post content that is hateful, threatening, pornographic, or that contains nudity or graphic or gratuitous violence.
H. You will not develop or operate a third party application containing, or advertise or otherwise market alcohol-related or other mature content without appropriate age-based restrictions.
I. You will not offer any contest, giveaway promotion, or sweepstakes on NADATODO.COM without our prior written consent.
J. You will not use NADATODO.COM to do anything unlawful, misleading, malicious, or discriminatory.
K. You will not do anything that could disable, overburden, or disturb the proper working of NADATODO.COM.
L. You will not violate any of the Terms and Conditions listed herein.
4. Registration and Account Security
NADATODO.COM users provide their real contact information and event details. In this light, you agree to the following:
A. You will not provide any false personal information on NADATODO.COM, or create an account for anyone other than yourself without permission.
B. You will not create misleading or false (fake) event postings, or post events and content which are in any way harassing, intimidating, unlawful, misleading or malicious in any way.
C. You will not use NADATODO.COM if you are a convicted sex offender.
D. You will keep your contact information accurate and up-to-date.
E. You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
F. You will not transfer your account to anyone without first getting our written permission.
5. Protecting User Rights Respect
NADATODO.COM and it will do the same for you.
A. Users may upload video and pictures and post comments and event details. Any content in violation of these Terms and Conditions will be removed and without legal consequence to NADATODO.COM.
B. You will not post content or take any action on NADATODO.COM that infringes or violates someone else’s rights or otherwise violates the law.
C. Users can report an event which they think is inappropriate. NADATODO.COM can remove any content or information it deems unlawful, inappropriate and/or in violation of these Terms and Conditions.
D. We can remove any content for infringing someone else's copyright. If you believe your content was mistakenly removed, you are free to appeal such decisions.
E. If you repeatedly infringe other people's intellectual property rights, your access to NADATODO.COM will be disabled.
F. You will not use our trademarks (including NADATODO, NADATODO.COM, the NADATODO.COM logo and tag line), and/or any similar marks, without our written permission.
G. You will not post anyone's identification documents or sensitive financial information on NADATODO.COM.
6. Links
If you place a link to NADATODO.COM and/or its thumbnail, the following terms apply:
A. We give you permission to use a link to NADATODO.COM on your website.
B. You will not place a link to NADATODO.COM on a site which violates the Terms and Conditions outlined herein and/or that NADATODO.COM deems inappropriate.
7. Advertising on NADATODO.COM
The following terms apply to advertisers on NADATODO.COM:
A. You will pay for your ads, upcoming event and/or newsletter placement in accordance to our Payment Terms.
B. Your ads will comply with our Advertising Guidelines.
C. We will determine the size, placement, and positioning of your ads.
D. We do not guarantee the activity your ads will receive, such as the number of clicks or impressions you will get.
E. We cannot control how people interact with your ads, and are not responsible for click fraud or other improper actions that affect the cost of running ads.
F. Your ad will run for the duration of the period paid.
G. We can use your ads and related content and information for marketing or promotional purposes.
H. You will not issue any press release or make public statements about your relationship with NADATODO.COM without written permission.
I. We may reject or remove any ad for any reason.
J. If you are placing ads on someone else's behalf, we need to make sure you have permission to place those ads. Anyone in violation of these Terms and Conditions will be held responsible.
K. You warrant that you have the legal authority to bind the advertiser to these Terms and Conditions.
8. Provisions Applicable to Event Posting
A. Users can post events which promote a business or other commercial, political, or charitable organization or endeavour (including non-profit organizations, political campaigns, bands, and celebrities).
B. You may only administer a NADATODO.COM Event if you are an authorized representative of the subject of the Event.
C. When you publish content or information on NADATODO.COM we have no obligation to distribute your content or information to users.
D. If you use a link to promote your upcoming event, users can copy and place the event link elsewhere.
9. Amendments
A. We can change these Terms and Conditions if we provide you notice (by making changes accessible to the public and providing users with an opportunity to comment on. All such comments must be made to info@nadatodo.com.
B. We can make changes for legal or administrative reasons upon notice without opportunity to comment.
10. Termination
A. If you violate any or all of these Terms and Conditions, or otherwise create possible legal exposure for us, we can stop providing all or part of NADATODO.COM to you. We will notify you by email or at the next time you attempt to log in to your account.
11. Disputes
A. You will resolve any claim, cause of action or dispute ("claim") you have with us arising out of or relating to these Terms and Conditions or NADATODO.COM exclusively in a Provincial or Federal court. The laws of the Province of British Columbia will govern these Terms and Conditions, as well as any claim that might arise between you and NADATODO.COM, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Vancouver, British Columbia for the purpose of litigating all such claims.
B. If anyone brings a claim against us related to your actions, content or information on NADATODO.COM, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
C. NADATODO.COM is your online events source but is searched and used at your own risk. We are providing NADATODO.COM "as is" without any express or implied warranties. We do not guarantee that NADATODO.COM will be safe or secure. NADATODO.COM is not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties. We will not be liable to you for any lost profits or other consequential, special, indirect, or incidental damages arising out of or in connection with these terms and conditions or NADATODO.COM, even if we have been advised of the possibility of such damages. NADATODO.COM's liability will be limited to the fullest extent permitted by applicable law.
12. Definitions
A. By "NADATODO.COM" we mean the features and services we make available, including through our website at WWW.NADATODO.COM and any other NADATODO.COM branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions); (b) our Platform; and (c) other media, software (such as a toolbar), devices, or networks now existing or later developed.
B. By "us," "we" and "our" we mean NADATODO Communications Inc.
C. By "Platform" we mean the site itself and its functions.
D. By "information" we mean event details or personal data to login onto the Event Post form page.
E. By "content" we mean anything you post on NADATODO.COM that would not be included in the definition of "information".
F. By "data" we mean all content posted on NADATODO.COM
G. By "post" we mean any post on NADATODO.COM (may it be a video, picture, comment, event or otherwise).
H. By "use" we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
13. Miscellaneous
A. These Terms and Conditions make up the entire agreement between the parties regarding NADATODO.COM, and supersede any prior agreements.
B. If any portion of these Terms and Conditions is found to be unenforceable, the remaining portion will remain in full force and effect.
C. If we fail to enforce any of these Terms and Conditions, it will not be considered a waiver.
D. Any amendment to or waiver of these Terms and Conditions must be made in writing and signed by us.
E. You will not transfer any of your rights or obligations under these Terms and Conditions to anyone else without our consent.
F. All of our rights and obligations under these Terms and Conditions are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
G. Nothing in these Terms and Conditions shall prevent us from complying with the law.
H. These Terms and Conditions do not confer any third party beneficiary rights.
